Corporate Attorney with a Minimum OF 5 Years' Experience

Corporate Attorney with a minimum of 5 years' experience for dynamic Corporate Transactional and Healthcare Regulatory practice. Experience in contract drafting and review, including Operating Agreements, Shareholder Agreements, Employment Agreements, Asset Purchase Agreements, Stock or Membership Interest Purchase Agreements and Joint Venture Agreements. Experience in the negotiations of purchase and sales of businesses, NDAs, LOIs, Term Sheets, APAs and Private Equity Transactions, due diligence and closings preferred. Health care regulatory experience or experience representing physicians and/or physician group practices, hospitals and/or ambulatory surgical centers and knowledge of Tax and securities law are a plus.
